Consulting terms.

These Terms and Conditions (the "Terms") are an agreement between Amanda Perna Studio Inc., a Florida business ("Amanda Perna Studio," "we," "us" or "our"), and you, the person booking a session ("you" or "Client"). By booking, paying for or attending any consulting session, and by checking the box to agree when you book, you agree to these Terms. If you don't agree, please don't book.
1 Who Can BookYou must be at least 18 years old and able to enter into a binding contract. If you book for a business, you confirm you're authorized to agree to these Terms for that business, and both you and the business are bound by them.
2 The ServicesWe offer creative and business consulting sessions with Amanda Perna, including Pick My Brain (30 minutes), the Creative Power Hour (60 minutes) and The Big Idea (four 60-minute sessions) (each a "Session"). Sessions are advisory and educational. They're held on Google Meet or, where offered and approved, in person at our atelier.
3 Not Professional Advice, No Guaranteed ResultsAmanda shares opinions, ideas and strategies based on her experience as a designer, creative director and entrepreneur. Nothing in a Session is legal, financial, tax, accounting, investment, medical or mental health advice, and we're not acting as your attorney, accountant, financial advisor or therapist. Please talk to a licensed professional before acting on anything in those areas.
You're fully responsible for your own decisions and results. We don't promise or guarantee any particular outcome, including revenue, growth, press, followers, funding or success. Any examples of past results are for illustration only.
4 Booking And PaymentAll Sessions are paid in full at the time of booking. Prices are listed on our booking page in US dollars and may change at any time, but a change won't affect a Session you've already paid for. Your booking is confirmed only after payment goes through.
5 Cancellations And Rescheduling By YouPick My Brain and Creative Power Hour: You may cancel or reschedule through your confirmation email at least 24 hours before your scheduled start time. If you cancel at least 24 hours ahead, you'll receive a full refund. Cancellations or reschedule requests made less than 24 hours before the start time are not eligible for a refund or a new time, and the full Session fee is forfeited.
The Big Idea: The Big Idea package is non-refundable once booked. You may reschedule any of your four Sessions at least 24 hours before its start time. A Session cancelled less than 24 hours ahead counts as used.
6 No-Shows And Late ArrivalsIf you don't show up for a Session, it's treated the same as a cancellation made less than 24 hours ahead: the Session is forfeited and no refund is given.
Every Session starts at its scheduled time unless Amanda agrees otherwise in writing beforehand. If you arrive or join late, the Session still ends at its scheduled time and the missed time is not refunded or made up. If you haven't joined within 15 minutes of the start time, the Session may be treated as a no-show.
7 The Big Idea Package TermsThe Big Idea includes four 60-minute Sessions. Your first Session is scheduled when you book. You must schedule and complete the remaining three Sessions within three (3) months of your first Session. Any Sessions not used within that three-month period expire and are forfeited, with no refund or credit. Sessions can't be transferred to another person or exchanged for other services without our written approval.
8 If We Need To RescheduleIf we need to cancel or reschedule a Session, we'll let you know as soon as we can and you can choose either a new time or a refund. For a single Session, that's a full refund of the Session fee. For The Big Idea, a refund covers only the affected Session, calculated as one quarter of the package price. Choosing a new time or a refund is your only remedy if we reschedule or cancel.
9 In-Person SessionsIn-person Sessions are available for the Creative Power Hour and The Big Idea and take place at our atelier at 253 NE 2nd Ave, Delray Beach, FL 33444, or another location we confirm in writing. You may bring a guest, business partner or anyone else only if you discuss it with Amanda and receive her approval before the Session. We may refuse entry to anyone who hasn't been approved.
You're responsible for your own safety and belongings, and for the conduct and safety of any approved guest. The atelier is a working studio. You agree to follow any instructions we give, and you're responsible for any damage you or your guest cause.
10 RecordingsWe may record virtual Sessions and send the recording to you for your personal use. You agree that we may record, and that recordings may be kept for our records. You may not record any Session yourself, or share, post, sell or publish any recording or any part of a Session, without our written permission.
11 Our Materials And Your IdeasOur materials stay ours. Everything we share or create for a Session, including frameworks, methods, worksheets, templates, recordings, slides, notes and advice ("Our Materials"), belongs to Amanda Perna Studio Inc. You get a personal, non-transferable right to use Our Materials for your own business. You may not copy, resell, teach, publish or share them, or use them to create a competing course, program or service.
Your ideas stay yours. You keep ownership of your own business, ideas, brand and work. We'll keep the non-public information you share with us confidential and won't share it with anyone without your permission, except where the law requires it.
What confidentiality doesn't cover. It doesn't cover information that's public, that we already knew, or that we develop or learn independently. You understand that we work with many creative founders and may already be working on, or later work on, ideas or businesses similar to yours. Nothing in these Terms limits our right to work with anyone or to use our general skills, knowledge and experience, including insights gained from Sessions, in our own work.
Testimonials. We'll only use your name, likeness or a testimonial publicly with your written permission.
12 Conduct And Our Right To End A SessionWe expect respectful, professional behavior. We may end any Session immediately, or refuse future bookings, if you or your guest is abusive, harassing, threatening, discriminatory, under the influence, or otherwise behaving inappropriately. In that case, no refund is owed.
13 Payment Disputes And ChargebacksIf you have a problem with a charge or a Session, you agree to email us at info@amandaperna.com first and give us at least 14 days to resolve it before contacting your bank or card company. Filing a chargeback or payment dispute for a Session that was delivered, or that was forfeited under these Terms, is a breach of these Terms.
In any dispute, you authorize us to share your booking records, your agreement to these Terms, emails, recordings and other evidence of the Session with the payment processor. You agree to pay any amounts recovered through a chargeback that we're owed under these Terms, plus any chargeback fees and reasonable costs of collection, including attorneys' fees.
14 Limitation Of LiabilityTo the fullest extent allowed by law, Amanda Perna Studio Inc. and its owners, employees and contractors won't be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, revenue, data or business opportunities, arising from the Sessions or these Terms. Our total liability for any claim is limited to the amount you paid for the specific Session the claim relates to.
Sessions are provided "as is." We make no warranties beyond those stated in these Terms.
15 IndemnificationYou agree to defend, indemnify and hold harmless Amanda Perna Studio Inc. and its owners, employees and contractors from any claims, losses, damages and expenses, including reasonable attorneys' fees, arising from your decisions or actions based on a Session, your breach of these Terms, your misuse of Our Materials, or the conduct of any guest you bring.
16 Governing Law And DisputesThese Terms are governed by the laws of the State of Florida, without regard to conflict of law rules. Any dispute arising from these Terms or the Sessions must be brought only in the state or federal courts located in Palm Beach County, Florida, and you consent to those courts' jurisdiction.
EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL in any dispute relating to these Terms or the Sessions. Claims must be brought individually, not as part of a class or group action. Any claim must be filed within one (1) year after it arises, or it's permanently barred. The prevailing party in any dispute is entitled to recover reasonable attorneys' fees and costs.
17 General TermsThese Terms, together with the details on our booking page, are the entire agreement between you and us about the Sessions. If any part of these Terms is found unenforceable, the rest stays in effect and the unenforceable part will be limited only as much as needed. If we don't enforce a term right away, we haven't waived it. You may not transfer your rights under these Terms. We may update these Terms for future bookings, and the version you agreed to at booking applies to that booking. Your electronic agreement at booking is as binding as a signature.
